1. Scope and Contracting Party
These General Terms and Conditions apply to contracts for goods and services concluded between

and its customers.
Customers within the meaning of these Terms and Conditions may be consumers or businesses.
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession.
A business is a natural or legal person or a partnership with legal capacity acting in the course of its trade, business or profession when entering into the contract.
Any conflicting terms and conditions of a business customer shall become part of the contract only if GP AUDIO has expressly agreed to their application.
2. Offers and Conclusion of Contracts in the Online Shop
The presentation of goods and services in the online shop does not constitute a binding contractual offer by GP AUDIO. It is an invitation to the customer to submit an order.
Customers may initially place goods and services in the shopping cart without obligation and may review and correct their entries before submitting the order.
By clicking the button “Order with obligation to pay” or an equivalent clearly worded button, the customer submits a binding offer to conclude a contract for the goods and services contained in the shopping cart.
An automatically generated acknowledgement of receipt or order confirmation initially confirms only that the order has been received and does not constitute acceptance of the contractual offer unless acceptance is expressly stated.
GP AUDIO may accept the customer's offer within five days. Acceptance may take place in particular by an express order confirmation, issuance of an invoice, shipping confirmation, dispatch of the goods or commencement of the agreed service, provided that the applicable legal requirements are fulfilled.
If the offer is not accepted within this period, the customer is no longer bound by the order.
3. Orders by Commercial Resellers in Other EU Member States
Deliveries to addresses in other Member States of the European Union outside Germany are made exclusively to previously verified and approved commercial resellers.
A registered customer account, the documents requested by GP AUDIO and a completed reseller declaration are required.
Following approval, the reseller selects the required products in the online shop and sends GP AUDIO the order overview or a screenshot of the shopping cart by email.
GP AUDIO then creates the order manually. The contract is concluded when GP AUDIO expressly accepts the order, in particular by issuing an order confirmation or invoice.
Automatic checkout with a delivery address in another EU Member State is not available.
4. Prices and Currencies
Prices displayed in the online shop depend on the selected currency, delivery country and the applicable tax treatment of the respective delivery.
The online shop allows prices and payments to be displayed and processed in euros (EUR) and US dollars (USD).
For deliveries within Germany, prices displayed to consumers generally include the applicable statutory value added tax.
For deliveries to countries outside the European Union, German VAT may not apply where the statutory requirements for a VAT-exempt export delivery are fulfilled.
The total price and currency shown during checkout are decisive for the respective contract.
5. Payment
The payment methods available for an individual order are displayed during checkout.
These may include bank transfer/prepayment, PayPal and additional payment methods offered through the respective payment service provider.
GP AUDIO does not charge a payment surcharge for bank transfer/prepayment.
Where PayPal is selected and a payment surcharge is shown during checkout, the surcharge is 3.59% for delivery addresses within Europe and 7.18% for delivery addresses outside Europe.
The applicable surcharge is shown to the customer before the order is submitted.
Cash payment may be offered for personally arranged collection.
6. Delivery and Shipping
Deliveries within Germany can be ordered normally through the online shop.
Deliveries to other Member States of the European Union are made only to verified commercial resellers in accordance with Section 3 above.
Deliveries to European countries outside the European Union and to other non-EU countries may generally be ordered through the online shop where shipping is offered for the relevant country and product.
The applicable shipping costs, delivery areas and shipping restrictions are shown on the Payment & Shipping page and during checkout.
Personal collection in Stahnsdorf is possible by prior arrangement.
7. Special Shipping Restriction for Audiodesksysteme Gläss Products
Due to the manufacturer's distribution requirements, products from Audiodesksysteme Gläss are not shipped to delivery addresses in the United States or Canada.
This restriction does not automatically apply to other products offered by GP AUDIO.
8. Delivery Times and Unavailability
The expected delivery time is stated on the relevant product page or during checkout.
If an ordered product exceptionally becomes unavailable after a contract has already been concluded, GP AUDIO will inform the customer without undue delay.
The customer's statutory rights in the event of delayed delivery or non-performance remain unaffected.
9. Retention of Title
Goods supplied remain the property of GP AUDIO until the purchase price for the respective goods has been paid in full.
In relation to business customers, GP AUDIO retains title to supplied goods until all due claims arising from the ongoing business relationship have been paid in full.
10. Professional Record Cleaning
GP AUDIO offers professional record cleaning as a service.
The customer sends the records to be cleaned to GP AUDIO or delivers them personally by prior arrangement.
The service consists of the professional cleaning of the records submitted. It does not constitute the repair or restoration of damaged records.
In particular, noise caused by wear, scratches, material damage, pressing defects or other permanent physical changes cannot necessarily be removed by cleaning. A specific improvement in sound quality is therefore not guaranteed.
Professionally cleaned records are returned at the weight-based shipping rates stated on the Payment & Shipping page. The free-shipping threshold applicable to regular goods orders within Germany does not apply to the return shipment of cleaned records.
The customer's statutory rights in the event of a service not being performed in accordance with the contract remain unaffected.
11. Commencement of Services before Expiry of the Withdrawal Period
In contracts with consumers for services, including professional record cleaning, GP AUDIO will begin performance before expiry of the statutory withdrawal period only where the applicable statutory requirements are met.
If the consumer expressly requests GP AUDIO to begin providing the service before expiry of the withdrawal period, reasonable compensation for services already performed may be payable if the consumer subsequently withdraws from the contract and the statutory requirements are fulfilled.
The right of withdrawal may expire once the service has been fully performed if the consumer expressly consented to early performance and acknowledged that the right of withdrawal would be lost upon full performance of the contract.
12. Consumer Right of Withdrawal
Consumers generally have a statutory right of withdrawal for distance contracts unless a statutory exception applies.
Details concerning the right of withdrawal, the withdrawal period, consequences of withdrawal and the model withdrawal form are contained in GP AUDIO's separate withdrawal information.
Where required by law, GP AUDIO also provides an electronic withdrawal function in the online shop.
13. Statutory Rights in the Event of Defects
Statutory rights in relation to defective goods and services apply.
In relation to consumers, statutory rights are not restricted by any manufacturer's warranty or other voluntary guarantee.
14. Manufacturer Guarantees
Manufacturers may provide voluntary guarantees for individual products.
Where special guarantee conditions apply to a product, the relevant information is provided with the product or in the applicable guarantee documentation.
A manufacturer's guarantee is additional to statutory rights and does not restrict those rights.
15. Transport Damage
If goods are delivered with obvious transport damage, customers are requested to report the damage to the carrier where possible and to inform GP AUDIO.
Failure by a consumer to report transport damage does not affect the consumer's statutory rights.
For merchants, statutory inspection and notification obligations apply where applicable.
16. Liability
GP AUDIO's liability is governed by the applicable statutory provisions.
These General Terms and Conditions do not exclude or restrict any mandatory statutory rights or liability.
17. Contract Text, Correction of Input Errors and Contract Languages
Before submitting an order, customers may review and correct their entries using the functions provided during checkout.
The contract text and contractual information applicable to the order are stored by GP AUDIO to the extent required and technically available.
The customer receives the information relevant to the contract in connection with the order or contract processing on a durable medium, in particular by email.
Contracts may be concluded in German or English.
18. Consumer Dispute Resolution
GP AUDIO is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
19. Place of Jurisdiction for Business Customers
Where the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for disputes arising from the business relationship shall, to the extent permitted by law, be the registered office of GP AUDIO.
The statutory rules on jurisdiction apply to consumers.
20. Final Provisions
Contracts with GP AUDIO are governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
In relation to consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection granted by mandatory provisions of the law of the country in which the consumer has their habitual residence.

Right of Withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason.
Beginning of the Withdrawal Period
For contracts for services, the withdrawal period is fourteen days from the day on which the contract is concluded.
For contracts for the purchase of goods, the withdrawal period is fourteen days from the day on which you or a third party designated by you, other than the carrier, takes possession of the goods.
If you have ordered several goods as part of one order and they are delivered separately, the withdrawal period begins on the day on which you or a third party designated by you, other than the carrier, takes possession of the last item.
If goods are delivered in several partial shipments or pieces, the withdrawal period begins on the day on which you or a third party designated by you, other than the carrier, takes possession of the last partial shipment or the last piece.

of your decision to withdraw from this contract by an unequivocal statement, for example a letter sent by post or an email.
You may use the model withdrawal form provided for this purpose, but its use is not mandatory.
You may also exercise your right of withdrawal using the electronic withdrawal function provided on our website under “Withdraw from contract”. If you use this function, we will send you an acknowledgement of receipt without undue delay on a durable medium, for example by email, containing information about the content of your withdrawal declaration and the date and time at which it was received.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
Effects of Withdrawal for Goods
If you withdraw from a contract for goods, we will reimburse all payments received from you, including delivery costs, with the exception of any additional costs resulting from your choice of a type of delivery other than the least expensive standard delivery offered by us, without undue delay and no later than fourteen days from the day on which we receive notice of your withdrawal from this contract.
We will use the same means of payment for this reimbursement as you used for the original transaction, unless expressly agreed otherwise with you. You will not incur any fees as a result of the reimbursement.
We may withhold reimbursement until we have received the goods back or until you have provided evidence that you have returned the goods, whichever is earlier.
You must return or hand over the goods without undue delay and in any event no later than fourteen days from the day on which you inform us of your withdrawal from this contract to

The deadline is met if you send the goods before the fourteen-day period has expired.
You bear the direct costs of returning the goods.
You are liable only for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.
Effects of Withdrawal for Services
If you withdraw from a contract for services, we will reimburse all payments received from you without undue delay and no later than fourteen days from the day on which we receive notice of your withdrawal from this contract.
We will use the same means of payment for this reimbursement as you used for the original transaction, unless expressly agreed otherwise with you. You will not incur any fees as a result of the reimbursement.
If you expressly requested that the service begin during the withdrawal period, you must pay us an amount which is proportionate to the services already provided up to the time when you inform us of your exercise of the right of withdrawal, compared with the full coverage of the services provided for in the contract.
Early Expiry of the Right of Withdrawal for Services
For a contract for the provision of services, the right of withdrawal expires once the service has been fully performed if, before performance begins, the consumer expressly consented to GP AUDIO beginning performance before expiry of the withdrawal period and acknowledged that the right of withdrawal would be lost once GP AUDIO had fully performed the contract.
Statutory Exceptions to the Right of Withdrawal
There is no right of withdrawal in the cases excluded by law.
For the GP AUDIO product range, the statutory exception for contracts for the supply of sealed audio or video recordings or computer software may be relevant where the seal has been removed after delivery.
